These website terms of use (Terms of Use) set out the terms and conditions for using our website www.heyuncommon.com (our Site) and apply to the services (the Services) provided by Uncommon Humans Pte. Ltd. (Uncommon, we or us).

Who we are and how to contact us

Our Site is operated by Uncommon. We are a private limited company, registered in Singapore under registration number 202016806G and have our registered office at 30 Mount Sophia, #13-06, The Cathay Residence, Singapore 228464.

By using our Site, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these Terms of Use, you must not use our Site.

Privacy

Our Privacy Policy which sets out the terms on which we process any personal data we collect from you or that you provide to us, applies to your use of our Site. By using our Site and the Services, you consent to such processing and you warrant that all data provided by you is accurate.

Changes to these Terms of Use and our Site

We amend these Terms of Use from time to time. Every time you wish to use our Site, please check these terms to ensure you understand the terms that apply at that time.

We may update and change our Site from time to time to reflect changes to our products or Services, our users' needs and our business priorities.

We may suspend or withdraw our Site

Our Site is made available free of charge. We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Site for business and operational reasons.

Eligibility

You represent and warrant that you (a) are at least 18 years of age, and (b) have not been previously suspended or removed from using the Services.

Your account and your account details

To access certain areas and features of our Site and the Services, you must create an account. You agree to (a) provide accurate, truthful, current and complete information when creating an account; (b) maintain and promptly update your account information; (c) maintain the security of your account by not sharing your password with others and restricting access to your account and your computer and (d) take responsibility for all activities that occur under your account and accept all risks of unauthorised access. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at members@heyuncommon.com.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use.

Services

Access to Services. On the condition that you comply with these Terms of Use, Uncommon hereby grants you a non-exclusive, non-transferable, revocable licence to access the Services (including any Uncommon material therein) solely for the purpose of enabling you to use the Services in the manner permitted by these Terms of Use. If Uncommon, in its sole discretion, elects to provide any upgrade that replaces or supplements the original Services, this licence will govern any such upgrade unless such upgrade is accompanied by a separate licence, in which case the terms of that licence will govern.

Modification of the Services. Uncommon may review, improve, change or discontinue (temporarily or permanently) the Services or any features, information, materials, or content on the Services at any time, with or without notice to you. If you no longer wish to use the Services following any such modifications, you may terminate these Terms of Use.

How you may use material on our Site

We are the owner or the licensee of all intellectual property rights on our Site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You may not reproduce, republish, upload, post, transmit, or distribute in any way any material from our Site without our prior written consent.

You must not use any part of the content on our Site for commercial purposes without obtaining a licence to do so from us or our licensors.

Site information disclaimer

The content on our Site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Site. Although we make reasonable efforts to update the information on our Site, we make no representations, warranties or guarantees, whether express or implied, that the content on our Site is accurate, complete or up to date.

Third Party Services

The Services require the use of certain third party products and services (Third Party Services) identified on our Site. Use of any Third Party Services is at your sole risk and will be governed by separate terms and conditions, separate privacy policies relating to usage of data you may share through the Third Party Services in the course of using the Services, other applicable policies, and may include separate fees and charges. Uncommon may display content from third parties through the Services or may provide information about or links to Third Party Services. Your interactions with any such third parties, and any terms, conditions, warranties, or representations associated with such interactions, are solely between you and the applicable third parties. Uncommon is not responsible or liable for any loss or damage of any sort incurred as the result of any such interactions or as the result of the presence of such third-party information made available through the Services. If you are not able to access or use the Third Party Services for any reason, you will not be able to use the Services, and your sole remedy will be to terminate these Terms of Use.

Fees and payment terms

Uncommon provides an annual subscription for access to its Services (each annual period, a Subscription Period) at the prices set forth on our Site, paid in advance at the beginning of each applicable Subscription Period. If the applicable fees are not paid prior to the beginning of the Subscription Period, your access to the Services will be terminated until you pay the applicable fees. Uncommon, at its sole discretion, may modify its pricing during any Subscription Period and such pricing changes will be effective as of the directly subsequent Subscription Period. All payments must be made: (a) in Singapore dollars and (b) by credit/debit card via an authorised Uncommon payment processor. You hereby: (i) authorise Uncommon (or its authorised payment processor) to charge the credit / debit card number provided to Uncommon; and (ii) represent and warrant that you are authorised to use and have fees charged to the credit / debit card number provided to Uncommon. You may withdraw such authorisation by utilising the cancellation mechanism provided via the Services, or, if no mechanism is available via the Services, by emailing us at members(at)heyuncommon.com.

Auto-Renewal and Cancellation

  1. Our Memberships are set to auto-renew. By becoming a member, you acknowledge and agree that your membership will automatically renew at the end of each subscription period.

  2. You will be charged the applicable membership fee for the renewal, as specified in the Pricing and Payment section.

  3. The renewal will occur on the date corresponding to the end of your current subscription period.

  4. You have the right to cancel the auto-renewal of your membership at any time. To do so, you must provide Uncommon with written notice of cancellation at least 30 days before the renewal date. Please send your cancellation request to membership@heyuncommon.com.

  5. If you cancel the auto-renewal within the specified notice period, your membership will not be renewed, and you will not be charged for the subsequent subscription period.

  6. If you do not cancel the auto-renewal within the 30-day notice period, your membership will automatically renew, and the renewal fee will be charged to your designated payment method.

Restrictions on use of the Services

You are solely responsible for your conduct (and the conduct of anyone who uses the Services on your behalf) with respect to the Services, which you use at your own risk. Except as expressly permitted in writing by Uncommon, you will not do, and will not permit any third party to do, any of the following:

rent, lease, lend, sell, sublicense, or create derivative works of the Services;

distribute the Services or make the Services available over a network where it could be used by multiple devices at the same time;

modify, disclose, decompile, reverse engineer, disassemble, attempt to derive the source code, underlying ideas, or algorithms of the Services or any part of the Services, except to the extent required by applicable law;

remove, alter, or obscure any copyright, trademark, or other proprietary rights notice or labels on or in the Services;

use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit Uncommon’s other users from fully enjoying the Services or that could damage, disable, overburden, or impair the functioning of the Services;

use the Services for any illegal or unauthorized purpose or engage in, encourage, or promote any illegal activity, or any activity that violates these Terms of Use;

attempt to gain unauthorised access to the Services or their related systems or networks;

use the Services to store or transmit infringing, libellous, or otherwise unlawful or tortious material, or to store or transmit material in violation of the rights of Uncommon or any third party;

impersonate or use the Services by misrepresenting your affiliation with a person or entity;

build a competitive product or service, or copy any features or functions of our Site or the Services;

disclose to any third party any performance information or analysis relating to the Services; or

cause or permit any third party to do any of the foregoing.

If you violate (or are alleged to have violated) any of the foregoing restrictions, your license to use of the Services will immediately and automatically terminate, and you may have infringed the rights of Uncommon, which may subject you to prosecution and damages.

Acceptable use policy

In using the Services, including in any chat, video conferencing, forums or one-on-one interaction with other users or our professional guides (Guides), regardless of whether you believe you have been prompted by the Services, Guides, or other users to do any of the following, you may not upload, use, create, transmit, store, display, distribute, share or otherwise make available any content, descriptions, or information that:

is illegal or fraudulent or that would encourage, solicit, foster, glorify or provide instructions for any criminal or civil offense;

may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, to any animal or to any property;

is obscene, pornographic, indecent or sexually explicit;

depicts graphic, excessive or gratuitous violence, or make any threats to commit violent acts;

is derogatory, demeaning, inflammatory, malicious, defamatory, abusive, offensive, hateful, harassing, humiliating to other people (publicly or otherwise), libellous or otherwise objectionable;

you do not have a right to make available under any law or under contractual or fiduciary relationships;

you know is untruthful; or

infringes, misappropriates or violates the intellectual property or proprietary rights of others (including, but not limited to, rights of privacy and rights of publicity).

Uncommon reserves the right, but is not obligated, to investigate any violation of this section or misuse of the Services or our Site. Enforcement of this section is solely at Uncommon’s discretion, and failure to enforce this policy in some instances does not constitute a waiver of Uncommon’s right to enforce this section in other instances. In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that the Services or our Site will be free from conduct or content that violates this section. Uncommon may, in its sole discretion, remove or disable access to any content for any reason or for no reason, including if Uncommon believes that such content violates these Terms of Use or any other agreement we have with you for use of the Services or our Site.

Suspension and termination

Uncommon may suspend your licence to access or use the Services or terminate these Terms of Use at any time, with or without cause, immediately upon notice to you. You may terminate these Terms of Use by cancelling your account through the Services. Uncommon reserves the right, but does not undertake any duty, to take appropriate legal action including the pursuit of civil, criminal or injunctive redress against you for continuing to use the Services during suspension or after termination, including by creation of a different account. Uncommon may recover its reasonable attorneys’ fees and court costs from you for such actions. These Terms of Use will remain enforceable against you while your licence to access or use the Services is suspended.

Liability and risks

Your use of the Services is at your sole risk, The Services are provided on an “as is” and “as available” basis. You acknowledge that you are responsible for your use of any information or advice received in the course of using the Services from Uncommon and/or its Guides. We do not however, exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

We exclude all implied conditions, warranties, representations or other terms that may apply to our Site or any content on it including, but not limited to, implied warranties of fitness for a particular purpose and non-infringement.

To the fullest extent permitted by applicable law, we will not under any circumstances be liable to you for any direct, indirect, punitive, exemplary, special or consequential loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable or we have been advised of the potential for such damages, arising under or in connection with:

a) use of, or inability to use, the Services or our Site;

b) use of or reliance on any content displayed on our Site;

c) use of or reliance on any content displayed on a website that we have linked to on our Site;

d) bugs or viruses on our Site;

e) disruptions, delays or imperfections on our Site;

f) security of our Site; or

g) download of, or inability to download, any material from our Site.

In particular, we will not be liable for:

a) loss of profits, sales, business, or revenue;

b) business interruption;

c) loss of anticipated savings;

d) loss of business opportunity, goodwill or reputation; or

e) any indirect or consequential loss or damage.

Viruses and related misuse

We do not guarantee that our Site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access our Site. You should use your own virus protection software.

You must not misuse our Site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Site, the server on which our Site is stored or any server, computer or database connected to our Site. You must not attack our Site via a denial-of-service attack or a distributed denial-of service attack. To the extent it would constitute a criminal offence, we will report any breach of this provision to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Site will cease immediately.

No medical advice

The content and/or information provided via the Services and our Guides do not contain or constitute and should not be interpreted as therapy or as medical advice, medical opinions or medical services and there is no doctor-patient relationship or therapist-patient relationship between Uncommon and you or our Guides and you. Neither Uncommon nor our Guides provide medical services or render medical advice to you. The Services are not a substitute for the advice of a medical professional or therapist, and the information made available on or through the services or from our Guides should not be relied upon when making medical decisions, or to diagnose or treat a medical or health condition. Uncommon and our Guides do not diagnose or identify illnesses or conditions, and no statement from Uncommon or our Guides should be construed as a diagnosis or as confirmation that you do not have any particular medical condition. If you require medical advice, medical services, or therapy, you should consult a medical professional directly and not through Uncommon.

Rules about linking to our Site

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to our Site in any website that is not owned by you. Our site must not be framed on any other site, nor may you create a link to any part of our Site other than the home page.

We reserve the right to withdraw linking permission without notice.

Applicable laws

These Terms of Use, their subject matter and their formation are governed by Singapore law. We and you both agree to the exclusive jurisdiction of the courts of Singapore.

Refund and Deferral Policy:

Refunds: Please note that we do not accept refunds for the Membership. Once the membership fee has been paid, it is non-refundable.

Deferral: In certain cases, at our discretion, we may consider deferring a member's membership for a specified period of time. This decision will be made on a case-by-case basis and is subject to review and approval by our team.

Our aim is to provide a seamless and valuable membership experience. While refunds are not available, we understand that circumstances may arise that require the deferral of a membership. We will evaluate such requests on an individual basis, taking into consideration the specific circumstances and our capacity to accommodate deferrals. Please reach out to our team to discuss your situation, and we will do our best to find a suitable solution.
